THIS CONTEST IS OPEN ONLY TO RESIDENTS OF CANADA AND IS GOVERNED BY CANADIAN LAW

1. KEY DATES: The Holiday Giveaway (the “Contest”) begins on December 10, 2021 at 10:30 am ET and ends on December 12, 2021 at 11:59p.m. ET (the “Contest Period”).
2. ELIGIBILITY TO ENTER: The Contest is open only to residents of Canada who: (i) have reached the legal age of majority in their province/territory of residence at the time of entry; and (ii) have or obtain a valid Instagram Account – except employees, representatives or agents (and those with whom such persons are living, whether related or not) of Sol Cuisine Inc. or Fauxmagerie Zengarry. (collectively, the “Sponsors”), their respective affiliated entities, prize suppliers, advertising/promotion agencies and any other individual(s), entity or entities involved in the development, production, implementation, administration or fulfillment of the Contest (collectively with the Sponsors, the “Contest Parties”).
3. AGREEMENT TO BE LEGALLY BOUND BY RULES:
   By participating in this Contest, you are signifying that you have read and agree to be legally bound by these Official Rules and Regulations (the “Rules”).
4. INSTAGRAM NOT INVOLVED:
   The Contest is in no way sponsored, endorsed or administered by, or associated with Instagram (the “Social Platform”). The Social Platform is hereby completely released of all liability by each entrant in this Contest. Any questions, comments or complaints regarding the Contest must be directed to the Sponsors and not to the Social Platform. You may only use one (1) Instagram Account to participate in this Contest. To be eligible to earn an Entry (each, an “Entry” and collectively, the “Entries”) in this Contest, your Instagram Account must be set to public and not private.
5. HOW TO ENTER: NO PURCHASE NECESSARY. MAKING A PURCHASE WILL NOT INCREASE OR OTHERWISE IMPACT YOUR CHANCES OF WINNING IN THIS CONTEST.
   At or near the beginning of the Contest, the Sponsors will make a Contest-related post (each, a “Contest Post”) on https://www.instagram.com/solcuisine and/ and https://www.instagram.com/zengarryveg . To enter and be eligible to earn an Entry, follow the instructions in the Contest Post. Methods of entry will generally include (but are not restricted to) one (1) or more of the following requirements: (i) “like” the Contest Post; (ii) tag a friend on the Contest Post; (the “Entry Requirements”). In addition to the Entry Requirements, you must be or become a “follower” of the applicable channel on Instagram (Note: you can un-follow at any time after the Contest ends without impacting your chances of winning). When all required steps of the entry process are complete, you will automatically be eligible to earn one (1) Entry in the Contest.
   To be eligible, all content and materials associated with your Entry – regardless of the method of entry (collectively, your “Entry Materials”) must: (i) be submitted and received in accordance with these Rules during Contest Period; (ii) satisfy all Entry Requirements as set out in the applicable Contest Post; (iii) be in accordance with these Rules, including, but not limited to, the specific Submission Requirements listed below in Rule 8; and (iv) be in accordance with the applicable terms, rules, policies and guidelines of the Social Platform (the “Social Platform Rules”) (all as determined by Sponsors in their sole and absolute discretion).
6. ENTRY CONDITIONS: If it is discovered by the Sponsors (using any evidence or other information made available to or otherwise discovered by the Sponsor) that any person has attempted to use multiple names, multiple identities, multiple Instagram Accounts, any automated, macro, script, robotic or other system(s) or program(s), and/or any other means not in keeping with the Sponsors’ interpretation of the letter and spirit of these Rules to enter or otherwise participate in or to disrupt this Contest; then they may be disqualified from the Contest in the sole and absolute discretion of the Sponsors. The Contest Parties, Instagram From Facebook, and each of their respective agents, employees, directors, successors, and assigns (collectively, the “Released Parties”) are not responsible for, and accept no liability whatsoever in relation to, any late, lost, misdirected, delayed, incomplete or incompatible Entries and/or Entry Materials (all of which are void). An Entry may be rejected if, in the sole and absolute discretion of the Sponsors: (i) the Entry (including, but not limited to, any associated Entry Materials) is not submitted and received in accordance with these Rules; and/or (ii) the Entry Materials accompanying the Entry are not in compliance with these Rules (including, but not limited to, the specific Submission Requirements listed below in Rule 8) and/or the applicable Social Platform Rules (all as determined by Sponsors in their sole and absolute discretion).
7. VERIFICATION: All Entries, Entry Materials and entrants are subject to verification at any time and for any reason. The Sponsors reserve the right, in their sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsors – including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual’s eligibility to participate in this Contest; (ii) for the purposes of verifying the eligibility and/or legitimacy of any Entry, Entry Materials and/or other information entered (or purportedly entered) for the purposes of this Contest; and/or (iii) for any other reason the Sponsors deem necessary, in their sole and absolute discretion, for the purposes of administering this Contest in accordance with the Sponsors’ interpretation of the letter and spirit of these Rules. Failure to provide such proof to the complete satisfaction of the Sponsors within the timeline specified by the Sponsors may result in disqualification in the sole and absolute discretion of the Sponsors. The sole determinant of the time for the purposes of this Contest will be the official time-keeping device(s) of the Sponsors.
8. SUBMISSION REQUIREMENTS: BY SUBMITTING AN ENTRY, YOU AGREE THAT THE ENTRY (AND EACH INDIVIDUAL COMPONENT THEREOF – INCLUDING, WITHOUT LIMITATION, THE ENTRY MATERIALS) COMPLIES WITH ALL CONDITIONS STATED IN THESE RULES. THE RELEASED PARTIES WILL BEAR NO LIABILITY WHATSOEVER REGARDING: (I) THE USE OF YOUR ENTRY (OR ANY COMPONENT THEREOF – INCLUDING, WITHOUT LIMITATION, THE ENTRY MATERIALS); (II) PARTICIPATION IN ANY CONTEST-RELATED ACTIVITIES; (III) ANY USE, COLLECTION, STORAGE AND DISCLOSURE OF ANY PERSONAL INFORMATION; AND/OR (IV) IF DECLARED A WINNER, THE APPLICABLE PRIZE (INCLUDING ANY USE OR MISUSE OF SUCH PRIZE). THE RELEASED PARTIES SHALL BE HELD HARMLESS BY YOU IN THE EVENT IT IS DISCOVERED THAT YOU HAVE DEPARTED FROM OR NOT OTHERWISE FULLY COMPLIED WITH ANY OF THESE RULES AND/OR THE SOCIAL PLATFORM RULES (AS APPLICABLE). THIS RELEASE AND INDEMNITY SHALL CONTINUE IN FORCE FOLLOWING THE TERMINATION OF THE CONTEST AND/OR AWARDING OF ANY PRIZES.

By participating in the Contest, each entrant hereby warrants and represents that any Entry Materials they submits:
i. are original to they and that the entrant has obtained all necessary rights in and to the Entry Materials for the purposes of entering such Entry Materials in the Contest;
ii. do not violate any law, statute, ordinance or regulation;
iii. do not contain any reference to or likeness of any identifiable third parties, unless consent has been obtained from all such individuals and their parent/legal guardian if they are under the age of majority in their jurisdiction of residence;
iv. will not give rise to any claims whatsoever, including, without limitation, claims of infringement, invasion of privacy or publicity, or infringe on any rights and/or interests of any third party; and
v. are not defamatory, trade libelous, pornographic or obscene, and further that such Entry Materials will not contain, depict, include, discuss or involve, without limitation, any of the following: nudity; alcohol/drug consumption or smoking; explicit or graphic sexual activity, or sexual innuendo; crude, vulgar or offensive language and/or symbols; derogatory characterizations of any ethnic, racial, sexual, religious or other groups (including, without limitation, any competitors of Sponsors); content that endorses, condones and/or discusses any illegal, inappropriate or risky behaviour or conduct; personal information of individuals, including, without limitation, names, telephone numbers and addresses (physical or electronic); commercial messages, comparisons or solicitations for products or services other than products of Sponsors; any identifiable third party products, trade-marks, brands and/or logos, other than those of Sponsors (e.g. any clothing worn and/or products appearing in your Entry Materials must not contain any visible logos, trade-marks or other third party materials unless the appropriate consents have been obtained — note: all identifiable third party products, trade-marks, brands and/or logos for which consent has not been obtained by the entrant must be blurred out so as to be unrecognizable); conduct or other activities in violation of these Rules; and/or any other materials that are or could be considered inappropriate, unsuitable or offensive, all as determined by the Sponsors in their sole and absolute discretion.

The Sponsors and/or their promotional agency or designated content moderator (the “Reviewer”) reserve the right to screen all Entry Materials. Any Entry Materials that the Reviewer deems, in its sole and absolute discretion, to violate the terms and conditions set forth in these Rules are subject to disqualification. The Reviewer reserves the right, in its sole and absolute discretion at any time and for any reason, to attempt to remove any Entry Materials (or any part thereof) and/or to request an entrant to modify, edit and/or re-submit his or her Entry Materials (or any part thereof) in order to help ensure that the Entry Materials comply with these Rules, or for any other reason. If such an action is necessary at any point during or after the Contest, then the Sponsors reserve the right, in their sole discretion, to take whatever action it deems necessary based on the circumstances – including, without limitation, disqualifying the Entry Materials (and therefore the corresponding Entry and/or the associated entrant) – to help ensure that the Contest is being conducted in accordance with the Sponsors’ interpretation of the letter and spirit of these Rules.

9. LICENSE:
   By entering the Contest and submitting an Entry, each entrant: (i) without limiting the applicable Social Platform Rules, as applicable, grants to the Sponsors, in perpetuity, a non-exclusive license to publish, display, reproduce, modify, edit or otherwise use their Entry Materials (and each component thereof), in whole or in part, for advertising or promoting the Contest or for any other reason; (ii) waives all moral rights in and to their Entry Materials (and each component thereof) in favour of the Sponsors (and anyone authorized by the Sponsors to use such Entry Materials); and (iii) agrees to release and hold harmless the Sponsors and all of the other Released Parties from and against any and all claims, damages, liabilities, costs, and expenses arising from use of their Entry Materials (or any component thereof), including, without limitation, any claim based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other intellectual property related or other cause of action whatsoever.
10. PRIZES:
    There will be one (1) Prize (the “Prize”) available to be won. The Prize consists of six (10) Sol Cuisine products and seven (7) Fauxmagerie Zengarry products (all as selected by the Sponsors in their sole and absolute discretion). The approximate retail value of the Prize is $140 CAD. IMPORTANT NOTE: ANY AND ALL OTHER COSTS ASSOCIATED WITH UTILIZING A PRIZE WILL BE THE SOLE AND ABSOLUTE RESPONSIBILITY OF THE WINNERS. NONE OF THE RELEASED PARTIES, NOR ANY OTHER ENTITY, WILL BE PROVIDING ANY COMPENSATION WHATSOEVER WITH RESPECT TO ANY COSTS ASSOCIATED WITH UTILIZING A PRIZE OR OTHERWISE.
    Prize must be accepted as awarded and is not transferable, assignable or convertible to cash (except as may be specifically permitted by Sponsors in their sole and absolute discretion). No substitutions are permitted, except at Sponsors’ option. Sponsors reserve the right, in their sole and absolute discretion, to substitute a Prize or a component thereof with a prize of equal or greater retail value, including, without limitation, but at Sponsors’ sole and absolute discretion, a cash award.
    None of the Released Parties makes any representation or offers any warranty, express or implied, as to the quality or fitness of any Prize awarded in connection with the Contest. To the fullest extent permitted by applicable law, a confirmed winner understands and acknowledges that he or she may not seek reimbursement or pursue any legal or equitable remedy from either the Sponsors or any of the other Released Parties should their Prize fail to be fit for its purpose or is in any way unsatisfactory.
11. ELIGIBLE WINNER SELECTION PROCESS:
    On December 13th, 2021 (the “Selection Date”) in Missisauga, ON or Alexandria, ON at approximately 9:00a.m. ET, one (1) eligible entrant will be selected by random draw from among all eligible Entries submitted and received in accordance with these Rules. The odds of winning depend on the number of eligible Entries submitted and received in accordance with these Rules.
12. ELIGIBLE WINNER NOTIFICATION PROCESS: The Sponsor or its designated representative will make a minimum of three (3) attempt(s) to contact an eligible winner via the Social Platform within three (3) business day(s) of the Selection Date. If an eligible winner cannot be contacted as outlined above, or if there is a return of any notification as undeliverable; then they may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit all rights to the Prize) and the Sponsors reserve the right, in their sole and absolute discretion and time permitting, to randomly select an alternate eligible entrant for the Prize from among the remaining eligible Entries submitted and received in accordance with these Rules (in which case the foregoing provisions of this section shall apply to such newly selected eligible winner).
13. ELIGIBLE WINNER CONFIRMATION PROCESS: NO ONE IS A WINNER UNLESS AND UNTIL THE SPONSORS OFFICIALLY CONFIRMS THEM AS A WINNER IN ACCORDANCE WITH THESE RULES. BEFORE BEING DECLARED AS A CONFIRMED PRIZE WINNER, an eligible winner will be required to correctly answer a mathematical skill-testing question without mechanical or other aid (which may, in the sole and absolute discretion of the Sponsor, be administered online, by email or other electronic means, by telephone, or in the Sponsors’ form of declaration and release).

By participating in the Contest and accepting a Prize, each eligible winner hereby: (i) confirms compliance with these Rules; (ii) acknowledges acceptance of the applicable Prize (as awarded); (iii) releases the Released Parties from any and all liability in connection with this Contest, their participation therein and/or the awarding and use/misuse of the Prize or any portion thereof; (iv) agrees to indemnify the Sponsors and all of the other Released Parties against any and all claims, damages, liabilities, costs, and expenses arising from use of their Entry Materials or any portion(s) thereof; and (v) agrees to the publication, reproduction and/or other use of their name, city and province/territory of residence, voice, statements about the Contest and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the Sponsors in any manner whatsoever, including print, broadcast or the internet. IMPORTANT NOTE: The Sponsors may require, in their sole and absolute discretion, that an eligible winner sign and return the Sponsors’ form of declaration and release prior to being confirmed as a winner.
If an eligible winner: (a) fails to correctly answer the skill-testing question; (b) cannot accept (or is unwilling to accept) the Prize (as awarded) for any reason; and/or (c) is determined to be in violation of these Rules (all as determined by the Sponsors in their sole and absolute discretion); then they will be disqualified (and will forfeit all rights to the Prize) and the Sponsors reserve the right, in their sole and absolute discretion and time permitting, to randomly select an alternate eligible entrant for the applicable Prize from among the remaining eligible Entries submitted and received in accordance with these Rules (in which case the foregoing provisions of this section shall apply to such newly selected eligible winner).

14. GENERAL CONDITIONS: This Contest is subject to all applicable federal, provincial and municipal laws. The decisions of the Sponsors with respect to all aspects of this Contest are final and binding on all entrants without right of appeal. ANYONE DEEMED BY THE SPONSORS TO BE IN VIOLATION OF THE SPONSORS’ INTERPRETATION OF THE LETTER AND/OR SPIRIT OF THESE RULES FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF THE SPONSORS AT ANY TIME.
    The Sponsors and the other Released Parties will not be liable for: (i) any failure of any website or any platform during the Contest; (ii) any technical malfunction or other problems of any nature whatsoever, including, without limitation, those relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any Entry, Entry Materials and/or other information to be received, captured or recorded for any reason whatsoever, including, but not limited to, technical problems or traffic congestion on the internet or at any website; (iv) any injury or damage to an entrant’s or any other person’s computer or other device related to or resulting from participating in the Contest; (v) anyone being incorrectly and/or mistakenly identified as a winner or eligible winner; and/or (vi) any combination of the above.
    The Sponsors reserve the right, in their sole and absolute discretion, to withdraw, amend or suspend this Contest (or to amend these Rules) in any way, in the event of any cause beyond the reasonable control of the Sponsors that interferes with the proper conduct of this Contest as contemplated by these Rules, including, without limitation, any error, problem, computer virus, bugs, tampering, unauthorized intervention, fraud or failure of any kind whatsoever. Any attempt to undermine the legitimate operation of this Contest in any way (as determined by Sponsors in their sole and absolute discretion) may be a violation of criminal and civil laws and should such an attempt be made, the Sponsors reserve the right to seek remedies and damages to the fullest extent permitted by law. The Sponsors reserve the right, in their sole and absolute discretion, to cancel, amend or suspend this Contest, or to amend these Rules, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever. The Sponsors reserve the right, in their sole and absolute discretion, to administer an alternate test of skill as it deems appropriate based on the circumstances and/or to comply with applicable law.

By entering this Contest, each entrant expressly consents to the Sponsors, their agents and/or representatives, storing, sharing and using the personal information submitted only for the purpose of administering the Contest and in accordance with Sponsors’ privacy policies (available at: https://solcuisine.com/privacy-policy/ and https://www.zengarry.com/_files/ugd/6647ae_31872f7b860645f48a8f62c452da72a4.pdf). This section does not limit any other consent(s) that an individual may provide the Sponsors or others in relation to the collection, use and/or disclosure of their personal information.
The Sponsors reserve the right, in their sole and absolute discretion, to adjust any of the dates, timeframes and/or other Contest mechanics stipulated in these Rules, to the extent deemed necessary by Sponsors, for purposes of verifying compliance by any entrant, Entry, Entry Materials and/or other information with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsors, in their sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules, or for any other reason.

In the event of any discrepancy or inconsistency between the terms and conditions of these English Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to, advertising and/or any instructions or interpretations of these Rules given by any representative of the Sponsors, the terms and conditions of these English Rules shall prevail, govern and control to the fullest extent permitted by law. The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Rules shall otherwise remain in effect and shall be construed in accordance with the terms as if the invalid or illegal provision were not contained herein. To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules or the rights and obligations of participants, Sponsors or any of the other the Released Parties in connection with the Contest will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein.
To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules or the rights and obligations of participants, Sponsors or any of the other the Released Parties in connection with the Contest will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein.

   Si les commanditaires découvrent (à l’aide de preuves ou de tout autre renseignement mis à la disposition des commanditaires ou autrement découvert par ceux-ci) qu’une personne a tenté d’utiliser plusieurs noms, plusieurs identités, plusieurs comptes Instagram et/ou tout système ou programme automatisé, macro, script, robotique ou autre qui ne respecte par l’interprétation des commanditaires de la lettre et l’esprit du présent règlement pour s’inscrire ou autrement participer au présent concours ou l’entraver de toute autre façon; il sera alors disqualifié du concours à la seule et entière discrétion des commanditaires.
   Les parties du concours, Instagram LLC., Facebook et chacun de leur agent, employé, directeur, successeur et ayant droit respectif (collectivement, les « parties exonérées ») ne sont pas responsables, et n’acceptent aucune obligation de quelque nature que ce soit en lien avec toute participation ou document de participation en retard, perdu, mal dirigé, retardé, incomplet ou incompatible (l’ensemble de ceux-ci étant nul). Une participation peut être rejetée si, à la seule et entière discrétion des commanditaires : (i) la participation (y compris, mais sans s’y limiter, tout document de participation connexe) n’est pas soumise et reçue conformément au présent règlement; et/ou (ii) les documents de participation accompagnant la participation ne sont pas conformes au présent règlement (y compris, mais sans s’y limiter, les Exigences relatives à la soumission particulières indiquées à la règle 8 ci-dessous) et/ou aux règles de la plateforme sociale applicable (tout cela selon le jugement des commanditaires, à leur seule et entière discrétion).
7. VÉRIFICATION :
   L’ensemble des participations, des documents de participation et des participants peut faire l’objet d’une vérification en tout temps, pour quelque raison que ce soit. Les commanditaires se réservent le droit, à leur seule et entière discrétion, d’exiger une preuve d’identité et/ou d’admissibilité (dans un format acceptable pour les commanditaires – y compris, mais sans s’y limiter, une pièce d’identité avec photo délivrée par le gouvernement) : (i) dans le but de vérifier l’admissibilité d’une personne à participer au présent concours; (ii) dans le but de vérifier l’admissibilité et/ou la légitimité d’une participation, des documents de participation et/ou des autres renseignements soumis (ou prétendument soumis) aux fins du présent concours; et/ou (iii) pour toute autre raison jugée nécessaire par les commanditaires, à leur seule et entière discrétion, pour administrer le présent concours conformément à l’interprétation par les commanditaires de la lettre et de l’esprit du présent règlement. Le défaut de fournir une telle preuve à l’entière satisfaction des commanditaires dans les délais indiqués par les commanditaires pourrait entraîner la disqualification à la seule et entière discrétion des commanditaires. Le seul déterminant du temps aux fins du présent concours sera le ou les dispositifs de comptabilisation du temps des commanditaires.
8. EXIGENCES RELATIVES À LA SOUMISSION :
   EN SOUMETTANT UNE PARTICIPATION, VOUS ACCEPTEZ QUE LA PARTICIPATION (ET CHAQUE ÉLÉMENT INDIVIDUEL DE CELLE-CI – Y COMPRIS, MAIS SANS S’Y LIMITER, LES DOCUMENTS DE PARTICIPATION) EST CONFORME À L’ENSEMBLE DES CONDITIONS ÉNONCÉES DANS LE PRÉSENT RÈGLEMENT. LES PARTIES EXONÉRÉES N’ASSUMERONT AUCUNE RESPONSABILITÉ DE QUELQUE NATURE QUE CE SOIT CONCERNANT : (I) L’UTILISATION DE VOTRE PARTICIPATION (OU DE TOUT ÉLÉMENT DE CELLE-CI – Y COMPRIS, MAIS SANS S’Y LIMITER, LES DOCUMENTS DE PARTICIPATION); (II) LA PARTICIPATION À TOUTE ACTIVITÉ LIÉE AU CONCOURS; (III) L’UTILISATION, LA COLLECTE, LE STOCKAGE ET LA DIVULGATION DE TOUT RENSEIGNEMENT PERSONNEL; ET/OU (IV) SI VOUS ÊTES DÉCLARÉ UN GAGNANT, CONCERNANT LE PRIX APPLICABLE (Y COMPRIS TOUTE UTILISATION OU MAUVAISE UTILISATION DE CE PRIX). VOUS DEVREZ EXONÉRER LES PARTIES EXONÉRÉES AU CAS OÙ IL EST DÉCOUVERT QUE VOUS N’AVEZ PAS RESPECTÉ OU QUE VOUS NE VOUS ÊTES PAS ENTIÈREMENT CONFORMÉ À L’ENSEMBLE DU PRÉSENT RÈGLEMENT ET/OU DES RÈGLES DE LA PLATEFORME SOCIALE (LE CAS ÉCHÉANT). CETTE EXONÉRATION ET CETTE INDEMNISATION SE POURSUIVRONT APRÈS LA FIN DU CONCOURS ET/OU APRÈS L’ATTRIBUTION DE QUELQUE PRIX QUE CE SOIT.

En participant au concours, chaque participant garantit et déclare par les présentes que tout document de participation qu’il soumet :
i. est un document original lui appartenant et que le participant a obtenu tous les droits nécessaires concernant les documents de participation aux fins de la soumission de ces documents de participation dans le cadre du concours;

ii. n’enfreint aucune loi, aucun acte législatif, aucune ordonnance, ni aucun règlement;

iii. ne contient pas de référence ou de ressemblance à tout tiers identifiable, à moins d’avoir obtenu le consentement d’une telle personne et de son parent/tuteur légal si la personne n’a pas l’âge de la majorité dans son territoire de résidence;

iv. ne donnera lieu à aucune réclamation que ce soit, y compris, mais sans s’y limiter, les plaintes pour contrefaçon, atteinte à la vie privée ou violation des droits de publicité, ou n’enfreindra aucun droit et/ou intérêt de quelque tiers que ce soit; et

v. n’est pas diffamatoire, diffamatoire à l’égard de toute entreprise, pornographique ou obscène, et qu’il ne contiendra pas, ne représentera pas, n’inclura pas, n’abordera pas ou n’impliquera pas, sans restriction, les éléments suivants : nudité; consommation d’alcool/drogues ou tabagisme; activité sexuelle explicite ou graphique, ou insinuation à caractère sexuel; langage et/ou symbole cru, vulgaire ou offensant; caractérisations désobligeantes de tout groupe ethnique, racial, sexuel, religieux ou autre (y compris, mais sans s’y limiter, tout concurrent des commanditaires); qui endosse, cautionne et/ou aborde toute conduite ou tout comportement illégal, inapproprié ou dangereux; renseignements personnels de personnes, y compris, mais sans s’y limiter, noms, numéros de téléphone et adresses (physiques ou électroniques); messages commerciaux, comparaisons ou sollicitations pour des produits ou des services autres que les produits des commanditaires; tout produit, marque de commerce, marque et/ou logo identifiable d’un tiers, autres que ceux des commanditaires (p. ex., tout vêtement et/ou produit apparaissant dans vos documents de participation ne doit pas contenir de logo, marque de commerce ou autre matériel de tiers visible à moins d’avoir obtenu les consentements nécessaires — remarque : tous les produits, marques de commerce, marques et/ou logos identifiables d’un tiers pour lesquels le consentement n’a pas été obtenu par le participant doivent être brouillés de façon à les rendre méconnaissables); conduite ou autre activité qui contrevient au présent règlement; et/ou tout autre matériel qui est considéré ou pourrait être considéré comme inapproprié, inadapté ou offensant selon le jugement des commanditaires, à leur seule et entière discrétion.

Les commanditaires et/ou leur agence de promotion ou leur modérateur de contenu désigné (le « Réviseur ») se réservent le droit de filtrer tous les Documents de participation. Tout document de participation que le réviseur juge, à sa seule et entière discrétion, en infraction avec les conditions générales établies dans le présent règlement, peut être disqualifié. Le réviseur se réserve le droit, à sa seule et entière discrétion, en tout temps et pour quelque raison que ce soit, de retirer tout document de participation (ou toute partie de celui-ci) et/ou de demander à un participant de modifier, d’éditer et/ou de soumettre à nouveau son document de participation (ou une partie de celui-ci) afin de s’assurer que les documents de participation sont conformes au présent règlement, ou pour toute autre raison. Si une telle mesure est nécessaire en tout temps pendant ou après le concours, les commanditaires se réservent alors le droit, à leur seule et entière discrétion, de prendre toute mesure jugée nécessaire en fonction de la situation – y compris, mais sans s’y limiter, la disqualification des documents de participation (et par conséquent, de la participation et/ou du participant qui y est associé) – afin de s’assurer que le concours est mené conformément à l’interprétation des commanditaires de la lettre et de l’esprit du présent règlement.

9. LICENCE :
   En participant au concours et en soumettant une participation, chaque participant : (i) sans limiter les règles de la plateforme sociale applicables, le cas échéant, accorde aux commanditaires, à perpétuité, une licence non exclusive de publier, afficher, reproduire, modifier, éditer ou utiliser de toute autre façon ses documents de participation (et chaque élément de ceux-ci), en totalité ou en partie, pour annoncer ou promouvoir le concours ou pour toute autre raison; (ii) renonce à l’ensemble des droits moraux concernant ses documents de participation (et chaque élément de ceux-ci) en faveur des commanditaires (et de toute personne autorisée par les commanditaires à utiliser de tels documents de participation); et (iii) accepte d’exonérer et de dégager de toute responsabilité les commanditaires et toutes les autres parties exonérées en ce qui concerne l’ensemble des réclamations, des dommages, des responsabilités, des coûts et des dépenses découlant de l’utilisation de ses documents de participation (ou de toute partie de ceux-ci), y compris, mais sans s’y limiter, toute réclamation fondée sur des droits de publicité, la diffamation, une atteinte à la vie privée, une infraction au droit d’auteur, une infraction à une marque de commerce ou à toute autre propriété intellectuelle connexe, ou tout autre motif de quelque nature que ce soit.
10. PRIX :
    Il y aura un total d’un (1) prix (le « prix ») disponible à gagner. Le prix consiste en dix (10) produits Sol Cuisine et sept (7) produits Fauxmagerie Zengarry (tels que sélectionnés par les commanditaires selon leur seule et absolue discrétion). La valeur au détail approximative du prix est de 140$ CAN //
    REMARQUE IMPORTANTE : L’ENSEMBLE DES AUTRES COÛTS ASSOCIÉS À L’UTILISATION D’UN PRIX CONSTITUERA LA SEULE ET ENTIÈRE RESPONSABILITÉ DES GAGNANTS. AUCUNE DES PARTIES EXONÉRÉES, NI AUCUNE AUTRE ENTITÉ, N’OFFRIRONT DE DÉDOMMAGEMENT DE QUELQUE NATURE QUE CE SOIT EN LIEN AVEC TOUT COÛT ASSOCIÉ À L’UTILISATION D’UN PRIX OU AUTREMENT.

Le prix doit être accepté tel que remis et ne peut pas être transféré, cédé ou converti en argent comptant (sauf ce qui est expressément autorisé par les commanditaires, à leur seule et entière discrétion). Aucune substitution n’est autorisée, sauf au choix des commanditaires. Les commanditaires se réservent le droit, à leur seule et entière discrétion, de remplacer un prix ou un élément de celui-ci par un prix d’une valeur au détail égale ou supérieure, y compris, mais sans s’y limiter, mais à la seule et entière discrétion des commanditaires, un prix en argent. Pour les résidents américains seulement : la valeur d’un prix peut être imposable en tant que revenu pour le gagnant d’un prix. Le gagnant du prix est seul responsable, à ses propres frais, de toutes les questions relatives au prix, y compris, mais sans s’y limiter, toutes les taxes fédérales, nationales et locales.

Aucune des parties exonérées ne fait quelque déclaration que ce soit ou n’offre une quelconque garantie, explicite ou implicite, concernant la qualité ou l’adaptation à un usage particulier de tout prix remis en lien avec le concours. Dans toute la mesure permise par les lois applicables, un gagnant confirmé comprend et confirme qu’il ne pourra pas demander un remboursement ni intenter un recours en droit ou en équité contre les commanditaires ou toute autre partie exonérée si son prix n’est pas adapté à son usage ou est jugé insatisfaisant de quelque façon que ce soit.

11. PROCESSUS DE SÉLECTION DU GAGNANT ADMISSIBLE :

Le décembre 13 2021 (la « date de sélection ») à Mississauga, ON ou Alexandria,ON à environ 9 :00 ET, un (1) participant admissible sera choisi par un tirage au hasard parmi toutes les participations admissibles soumises et reçues conformément au présent règlement. Les chances de gagner dépendent du nombre de participations admissibles soumises et reçues conformément au présent règlement.

12. PROCESSUS DE NOTIFICATION DU GAGNANT ADMISSIBLE :
    Les commanditaires ou leurs représentants désignés feront un minimum de trois (3) tentatives pour contacter un gagnant admissible par l’entremise de la plateforme sociale dans les trois 3 jours ouvrables qui suivent la date de sélection. Si un gagnant admissible ne peut pas être contacté comme il est décrit ci-dessus, ou si toute notification est retournée comme non livrable; il peut alors, à la seule et entière discrétion du commanditaire, être disqualifié (et, s’il est disqualifié, il renoncera à tous ses droits concernant le prix) et les commanditaires se réservent le droit, à leur seule et entière discrétion et si le temps le permet, de choisir un autre participant admissible pour le prix parmi les participations admissibles restantes soumises et reçues conformément au présent règlement (auquel cas les dispositions précédentes de cette section s’appliqueront à un tel gagnant admissible nouvellement choisi).
13. PROCESSUS DE CONFIRMATION DU GAGNANT ADMISSIBLE :
    IL N’Y A AUCUN GAGNANT À MOINS ET JUSQU’À CE QUE LES COMMANDITAIRES CONFIRMENT OFFICIELLEMENT QU’UNE PERSONNE EST UN GAGNANT CONFORMÉMENT AU PRÉSENT RÈGLEMENT. AVANT D’ÊTRE DÉCLARÉ UN GAGNANT CONFIRMÉ DU PRIX, UN gagnant admissible sera tenu de répondre correctement à une question d’habilité mathématique sans aide mécanique ou autre (qui peut, à la seule et entière discrétion des commanditaires, être administrée en ligne, par courriel ou par tout autre moyen électronique, par téléphone ou dans le formulaire de déclaration et d’exonération des commanditaires). Un gagnant américain ne doit pas répondre correctement à une question d’habilité mathématique.
    Par les présentes, en participant au concours et en acceptant un prix, chaque gagnant admissible : (i) confirme la conformité au présent règlement, (ii) confirme l’acceptation du prix applicable (tel qu’attribué), iii) exonère les parties exonérées de l’ensemble des responsabilités en lien avec ce concours, sa participation à celui-ci et/ou l’attribution et l’utilisation ou la mauvaise utilisation du prix ou de toute partie de celui-ci, (iv) accepte d’indemniser les commanditaires et les autres parties exonérées contre l’ensemble des réclamations, dommages, responsabilités, coûts et dépenses découlant de l’utilisation de ses documents de participation ou d’une partie de ceux-ci; et (v) consent à la publication, reproduction et/ou autre utilisation de son nom, de sa ville, son état, sa province, son territoire de résidence, de sa voix, de ses déclarations au sujet du concours et/ou de sa photo ou de son image sans autre avis ou dédommagement, dans toute publicité ou annonce réalisée par les commanditaires ou en leurs noms, peu importe le média et la façon, y compris par impression, diffusion ou Internet. REMARQUE IMPORTANTE : les commanditaires peuvent exiger, à leur seule et entière discrétion, qu’un gagnant admissible signe et retourne le formulaire de déclaration et d’exonération des commanditaires avant d’être confirmé comme un gagnant.
    Si un gagnant admissible : (a) ne répond pas correctement à la question d’habileté (pas requis pour les gagnants américains); (b) ne peut pas accepter (ou ne souhaite pas accepter) le prix (tel qu’attribué) pour quelque raison que ce soit; et/ou (c) est jugé en infraction au présent règlement (tout cela déterminé par les commanditaires à leur seule et entière discrétion); il sera alors disqualifié (et renoncera à tous ses droits concernant le prix) et les commanditaires se réservent le droit, à leur seule et entière discrétion et si le temps le permet, de choisir au hasard une autre participation admissible pour le prix applicable parmi les participations admissibles restantes soumises et reçues conformément au présent règlement (auquel cas les dispositions précédentes de cette section s’appliqueront à un tel gagnant admissible nouvellement choisi).
14. CONDITIONS GÉNÉRALES :
    Ce concours est assujetti à l’ensemble des lois fédérales, étatiques, provinciales et municipales applicables. Les décisions des commanditaires concernant tous les aspects de ce concours sont définitives et exécutoires pour tous les participants, sans droit d’appel. TOUTE PERSONNE QUI, SELON LES COMMANDITAIRES, EST JUGÉE EN INFRACTION DE L’INTERPRÉTATION PAR LES COMMANDITAIRES DE LA LETTRE ET/OU DE L’ESPRIT DU PRÉSENT RÈGLEMENT POUR QUELQUE RAISON QUE CE SOIT POURRAIT ÊTRE DISQUALIFIÉE EN TOUT TEMPS À LA SEULE ET ENTIÈRE DISCRÉTION DES COMMANDITAIRES.

Les commanditaires et les autres parties exonérées ne sont pas responsables : (i) de toute défaillance d’un site Web ou d’une autre plateforme pendant le concours; (ii) de tout dysfonctionnement technique ou autres problèmes de quelque nature que ce soit, y compris, mais sans s’y limiter, ceux qui concernent le réseau ou les lignes téléphoniques, les systèmes informatiques en ligne, les serveurs, les fournisseurs d’accès, l’équipement informatique ou les logiciels; (iii) d’une défaillance liée à la réception, à la saisie ou à l’enregistrement de toute participation, de tout document de participation et/ou de tout autre renseignement pour quelque raison que ce soit, y compris, mais sans s’y limiter, les problèmes techniques ou la congestion du trafic sur Internet ou tout site Web; (iv) de tout préjudice ou de tout dommage à l’ordinateur ou à un autre appareil d’un participant ou de toute autre personne en lien avec la participation au concours ou découlant de celle-ci; (v) de l’identification incorrecte et/ou erronée de toute personne à titre de gagnant ou de gagnant admissible et/ou (vi) de toute combinaison de ce qui précède.

Le commanditaires se réservent le droit, sous réserve seulement de l’approbation par la Régie des alcools, des courses et des jeux (la « Régie ») au Québec, de retirer, modifier ou suspendre ce concours (ou de modifier le présent règlement) de quelque façon que ce soit, pour une raison hors du contrôle jugé raisonnable des commanditaires qui entrave la bonne conduite de ce concours comme il est prévu par le présent règlement, y compris, mais sans s’y limiter, tout problème, erreur, virus informatique, bogue, falsification, intervention non autorisée, fraude ou défaillance de quelque nature que ce soit. Toute tentative d’entraver le déroulement légitime de ce concours de quelque façon que ce soit (selon le jugement des commanditaires à leur seule et entière discrétion) pourrait constituer une infraction aux lois criminelles et civiles, et si une telle tentative est faite, les commanditaires se réservent le droit de réclamer des dommages et intérêts dans toute la mesure permise par la loi. Les commanditaires se réservent le droit, sous réserve seulement de l’approbation de la Régie au Québec, d’annuler, de modifier ou de suspendre le présent concours, ou de modifier le présent règlement, de quelque façon que ce soit sans avis ni obligation préalables, dans le cas d’un accident, d’une erreur d’impression ou administrative, ou de toute autre erreur de quelque nature que ce soit, ou pour toute autre raison de quelque nature que ce soit. Les commanditaires se réservent le droit, à leur seule et entière discrétion, de faire passer un autre test d’habileté selon ce qu’ils jugent approprié en fonction de la situation et/ou pour se conformer aux lois applicables.

En participant à ce concours, chaque participant consent explicitement à ce que les commanditaires, leurs agents et/ou leurs représentants stockent, partagent et utilisent les renseignements personnels envoyés aux fins de l’administration de ce concours, conformément aux politiques de confidentialité des commanditaires (disponible à : https://solcuisine.com/privacy-policy/ et https://www.zengarry.com/_files/ugd/6647ae_31872f7b860645f48a8f62c452da72a4.pdf ). Cette section ne limite pas tout autre consentement qu’une personne pourrait donner aux commanditaires ou à d’autres en lien avec la collecte, l’utilisation et/ou la divulgation de ses renseignements personnels.

Pour les résidents du Québec : tout litige concernant la conduite ou l’organisation d’un concours publicitaire peut être soumis à la Régie des alcools, des courses et des jeux pour la prise de décision. Tout litige concernant l’attribution d’un prix pourra être soumis au conseil dans le seul but d’aider les parties à parvenir à un règlement.

Les commanditaires se réservent le droit, sous réserve seulement de l’approbation par la Régie au Québec, de modifier des dates, des échéanciers et/ou d’autres aspects du déroulement du concours indiqués dans le présent règlement, dans la mesure jugée nécessaire par les commanditaires, afin de vérifier la conformité au présent règlement de tout participant, de toute participation, de tout document de participation et/ou de tout autre renseignement, ou à la suite d’un problème technique ou autre, ou à la lumière de toute circonstance qui, selon le jugement des commanditaires, et à leur seule et entière discrétion, entrave la bonne administration du concours prévue dans le présent règlement, ou pour toute autre raison.

En cas de disparité ou d’incohérence entre les modalités du de la version anglaise du règlement et des déclarations ou autres énoncés contenus dans les documents liés au concours, y compris, mais sans s’y limiter, la version française du présent règlement et/ou toute instruction ou interprétation de ce règlement donnée par un représentant des commanditaires, les modalités du règlement en anglais prévaudront, régiront et contrôleront dans toute la mesure permise par la loi.

L’invalidité ou l’inapplicabilité de toute disposition du présent règlement n’aura aucun effet sur la validité ou l’applicabilité de toute autre disposition. Dans le cas où une disposition est jugée invalide ou autrement inapplicable ou illégale, le présent règlement restera en vigueur et devra être interprété conformément aux modalités comme si la disposition invalide ou illégale n’en faisait pas partie. Dans toute la mesure permise par les lois applicables, tous les problèmes et toutes les questions concernant la formulation, la validité, l’interprétation et l’applicabilité du présent règlement ou des droits et obligations des participants, des commanditaires ou de toute autre partie exonérée en lien avec ce concours seront régis et interprétés conformément aux lois internes de la province de l’Ontario et aux lois fédérales du Canada applicables aux présentes.
